Terms of Service

Last updated: 24 September 2026

These Terms of Service ("Terms") are a binding agreement between OpenORDO, of Chandigarh, India ("OpenORDO", "we", "us"), and the clinic, practice or professional that creates an account ("Customer", "you"). They govern your use of the OpenORDO website, dashboard, public booking pages, APIs, add-ons and related services (together, the "Service").

By creating an account, signing in with Google, clicking "I agree", or using the Service, you accept these Terms. If you accept on behalf of a clinic or company, you confirm that you have authority to bind it.

These Terms incorporate the following documents. If they conflict, the order of priority is: the Data Processing Agreement (for personal data matters), the HIPAA Business Associate Agreement (where it applies), then these Terms, then the other policies.

  • Privacy Policy · Data Processing Agreement · HIPAA BAA
  • Billing Terms · Refund Policy
  • Acceptable Use Policy · Medical Disclaimer
  • Security & Trust · Data Retention · Cookie Policy

1. What OpenORDO is

OpenORDO is a multi-tenant, cloud-based clinic management system. Each clinic that signs up gets its own private workspace (a "Clinic"). Depending on your plan and add-ons, the Service lets you:

  • manage patients (demographics, contact details, blood group, allergies, conditions);
  • schedule appointments and manage doctors and working days;
  • create invoices and track paid and unpaid balances;
  • keep medical records (diagnosis, prescription text, clinical notes);
  • invite staff with roles (Owner, Admin, Doctor, Front Desk);
  • publish a public booking page at
    /book/your-clinic
    ;
  • buy optional add-ons: Video Consultation, E-Prescriptions, Inventory Management and Branded Booking Page.

OpenORDO is software for clinics. We are not a healthcare provider, hospital, pharmacy or telemedicine provider, and we do not practise medicine. See the Medical Disclaimer.

2. Who may use the Service

  1. The Service is for licensed healthcare professionals, clinics and their authorised staff. You must be at least 18 and legally able to enter a contract.
  2. You must hold, and keep current, every registration, licence and permission that your practice needs (for example medical council registration, clinical establishment registration, telemedicine authorisations).
  3. Patients do not need a OpenORDO account. When a patient books through your public booking page, you, not OpenORDO, are the provider of that healthcare relationship.

3. Accounts, roles and security

  • Registration. You must give accurate information. Email/password accounts must verify their email with a one-time code before first login. Google sign-in accounts are activated using the email Google has verified.
  • Username. Each user receives a unique username (for example
    ananya-rao
    ) used to identify accounts in support and administration.
  • Roles. The person who creates the Clinic is the Owner and is the billing owner. Owners may invite Admins, Doctors and Front Desk users. You decide who gets which role and you are responsible for keeping access appropriate, including removing people who leave.
  • Credentials. Keep passwords confidential, do not share logins, and tell us at support@openordo.com immediately if you suspect unauthorised access. You are responsible for activity under your Clinic's accounts unless caused by our breach of these Terms.
  • OpenORDO staff access. A small number of authorised OpenORDO personnel ("Super Admins") can access the platform control panel. Their access is limited to what is needed for support, billing, security and legal compliance, and administrative actions are recorded in an audit log. See Security & Trust.

4. Plans, add-ons and payment

OpenORDO offers a free Starter plan and paid plans, plus paid add-ons. Prices, limits, billing cycles, taxes, free trials and promotions are set out in the Billing Terms, and refunds in the Refund Policy. In summary:

  • Paid subscriptions renew automatically until cancelled.
  • Payments are processed by Razorpay. OpenORDO does not store your full card number.
  • Plan limits (for example patient and doctor caps) are enforced by the Service. If you reach a limit you will be asked to upgrade before adding more.
  • We may change prices or plan contents on notice as described in the Billing Terms.

5. Your data

5.1 Ownership

You own all data that you or your users put into the Service ("Customer Data"), including patient, appointment, billing and medical record data. We do not claim ownership of Customer Data.

5.2 Our role

For patient and other personal data in your Clinic, you are the controller / data fiduciary / covered entity and OpenORDO is your processor / data processor / business associate. We process Customer Data only to provide and secure the Service, on your instructions, and as set out in the Data Processing Agreement and Privacy Policy.

5.3 Your responsibilities

You are solely responsible for:

  • having a lawful basis and any required patient consent or notice before entering patient data into OpenORDO or messaging patients;
  • the accuracy, completeness and clinical appropriateness of records, prescriptions and notes;
  • complying with laws that apply to your practice, such as India's Digital Personal Data Protection Act, 2023, the Information Technology Act, 2000 and its rules, applicable medical council regulations and telemedicine guidelines, and, where relevant, HIPAA or GDPR;
  • responding to patient requests to access, correct or erase their data;
  • meeting the minimum record retention period that applies to you (see Data Retention).

5.4 Export

You can export your Clinic's patient list, appointment history and billing records from Settings at any time while your account is open (unless export has been temporarily disabled platform-wide for maintenance or security reasons, in which case we will provide an alternative on request).

5.5 Licence to us

You grant OpenORDO a limited, worldwide, non-exclusive licence to host, copy, transmit and display Customer Data solely to operate, secure, support and improve the Service for you. We may create aggregated, de-identified statistics about platform usage (for example the number of active clinics). We will not sell Customer Data or use patient data for advertising.

6. Add-ons

Add-ons are separate from plans and can be purchased by clinics on any plan, including Starter.

Add-onWhat it does
Video ConsultationAdds video visits to appointments, a secure room per visit and a "Join call" button that opens shortly before the appointment. Video is delivered through a third-party video provider.
E-PrescriptionsAdds a structured prescription builder (drug, dosage, frequency, duration) and printable prescriptions.
Inventory ManagementTracks clinic stock, reorder thresholds and stock movements.
Branded Booking PageLets you use your own logo, colours, cover image, text and doctors list on the public booking page and optionally hide the "Powered by" badge.

Add-ons may be one-time, monthly or yearly depending on how each is offered. You can switch an add-on on or off inside your dashboard without cancelling it. If a recurring add-on lapses, the related features revert to their unpurchased state; your underlying data is preserved (for example, free-text prescriptions in medical records continue to work without E-Prescriptions).

7. Free trials, promotions and the Starter plan

  • Starter is free with the limits stated on the pricing page. We may change the limits of Starter for new customers on notice.
  • Promotions may give a clinic temporary access to a higher plan for a set number of days. When a promotion ends, your Clinic automatically moves to our default free plan unless you have added a payment method and chosen a paid plan.
  • If downgrading would put you over a plan limit, we will not delete data. You will not be able to add more of the limited item until you are back within the limit or upgrade.

8. Acceptable use

You must comply with the Acceptable Use Policy. In particular you must not misuse patient data, attempt to bypass tenant isolation or plan limits, upload malware, or use the Service for unlawful or non-clinical purposes.

9. Video consultations

If you buy Video Consultation:

  • You are responsible for confirming that a video consultation is clinically appropriate and lawful for each patient and jurisdiction, obtaining patient consent to teleconsultation and identifying the patient properly.
  • Video and audio are transmitted through a third-party video provider used by OpenORDO. OpenORDO does not record consultations. If you record a call by other means, you are responsible for obtaining consent and storing it lawfully.
  • The Service shows connection state (for example whether the other person has joined and whether their camera or microphone is on) based on presence signals. This indicator is informational and does not guarantee video quality or availability.
  • Video Consultation is not suitable for emergencies. Patients in an emergency must contact local emergency services.

10. Availability, changes and maintenance

We aim to keep the Service available and secure but do not promise uninterrupted or error-free operation. We may perform maintenance (including putting the platform into maintenance mode), update features, pause new signups or paid checkout, or retire functionality. We will give reasonable notice of material changes that reduce core functionality on a paid plan.

11. Suspension and termination

  • By you. You may stop using the Service and cancel at any time from Settings → Plan or the billing portal. Cancelling a paid plan stops renewal; access continues until the end of the paid period.
  • By us. We may suspend or terminate a Clinic or user immediately if we reasonably believe you are violating these Terms or the Acceptable Use Policy, creating a security or legal risk, or have not paid undisputed fees after notice. A suspended Clinic sees a suspended-account notice and cannot sign in until the issue is resolved; data is not deleted by suspension.
  • After termination. We will make your data available for export for a period and then delete it as described in Data Retention.
  • Sections that by their nature should survive termination (ownership, payment obligations, disclaimers, liability, governing law) do survive.

12. Intellectual property

OpenORDO, its software, design system, logo and content are owned by us and our licensors. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal clinic operations during your subscription. You may not copy, resell, reverse engineer or build a competing product from the Service, except where the law does not allow this restriction. If you send us feedback, we may use it freely without obligation to you.

13. Third-party services

The Service relies on third-party providers (for example payments, email, hosting and video). Their services are subject to their own terms. Google sign-in, Razorpay checkout and video calls involve those providers directly. We are not responsible for third-party services outside our control, but we are responsible for the providers we appoint as sub-processors to the extent stated in the DPA.

14. Warranties and disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will meet every legal or regulatory requirement that applies to your practice. OpenORDO does not provide medical, legal or tax advice, and clinical decisions are yours alone.

15. Limitation of liability

To the maximum extent permitted by law:

  • neither party is liable for indirect, incidental, special, consequential or punitive damages, or for loss of profit, revenue, goodwill or data (other than as required by law);
  • OpenORDO's total aggregate liability arising out of or related to the Service in any 12-month period is limited to the fees you paid to OpenORDO in the 12 months before the event giving rise to the claim, or ₹10,000 (INR) if you are on a free plan;
  • nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud, wilful misconduct, or death or personal injury caused by negligence.

OpenORDO is not liable for any claim arising from a clinical decision, diagnosis, treatment, prescription, missed appointment or patient outcome.

16. Indemnity

You will defend and indemnify OpenORDO against third-party claims and resulting costs arising from (a) Customer Data or your instructions, (b) your breach of law or these Terms, (c) your professional services or the care you provide, or (d) your failure to obtain patient consents. We will promptly notify you of a claim and reasonably cooperate at your expense.

17. Confidentiality

Each party will protect the other's non-public information with reasonable care, use it only for the purposes of these Terms and disclose it only to personnel and advisers who need it and are bound by confidentiality, or where legally required. Customer Data is your confidential information.

18. Changes to these Terms

We may update these Terms. For material changes we will notify you by email to the Owner and/or by an in-app notice at least 30 days before they take effect (or sooner where required by law or to address security). If you keep using the Service after the effective date, you accept the updated Terms. If you object, you may cancel before the effective date.

19. Governing law and disputes

These Terms are governed by the laws of India. Subject to any mandatory consumer rights, the courts at Chandigarh, India have exclusive jurisdiction. Before starting formal proceedings, each party will try in good faith to resolve the dispute by written notice and discussion for 30 days. If you are in the EU/UK, or the US, and mandatory law gives you rights in your own courts, those rights are not affected.

20. General

  • Entire agreement. These Terms and the documents they reference are the whole agreement about the Service.
  • Assignment. You may not assign these Terms without our consent. We may assign them in a merger, acquisition or sale of assets, on notice.
  • Severability and waiver. If a provision is unenforceable, the rest remains in effect. Not enforcing a right is not a waiver.
  • Force majeure. Neither party is liable for delay or failure caused by events beyond reasonable control (including internet, cloud provider or power failures, natural disasters, war, or government action).
  • Notices. We may send notices to your account email or in-app. Notices to us go to support@openordo.com.
  • Language. The English version prevails.
